Draft web access clause

IBM Global FINANCING – ACCOUNT MANAGEMENT TOOL (AMT): IBM OnLine User Application Specific Terms of Use.

“You”: an IBM Business Partner or a Supplier On Line User with a valid agreement (“Agreement”) with IBM Global Financing.“We/Us/Our”: IBM Global Financing through the relevant legal entity party to the Agreement with you.

Your access to your accounts with us through the AMT website is on the following terms (supplementing any other terms in any applicable agreement):

1. 
   You will be able to use the applications from time to time available and for which you are registered; we will notify you as any other applications become available.
   

2. 
   Access to the applications available via our website will be via password(s) issued by us to named individual(s) in your employ after you have completed registration with us. You will notify us immediately on the named individual(s) ceasing to be in your employ. You will be responsible for the security of the password(s) and any use of it by persons other than the named individual(s) and you will audit use of the password if requested by us from time to time.
   

2. 
   We will not be responsible for any loss you may suffer as a result of misuse of our website by any person accessing it via your named individual’s password or as a result of any computer downtime or your inability to access our website or any application for any reason. We do not warrant that any application will be uninterrupted or error free.
   

2. 
   The amount of any credit limit and/or any available credit may change during any day before or after you access our website as a result of accounting entries by us, any request for a payment out by us and by exercise of our rights under these terms or your Agreement.

   Any message from you to us via our website must be delivered using the correct password and must be correct and complete and we will be entitled to act on any message that is so given and which is not obviously unintelligible or garbled strictly as the message reads on it face.
   

2. 
   We may suspend the availability of our website or any application at any time. You acquire no title to or interest in any application and access to the applications available via our website will terminate contemporaneously with termination of your Agreement, but we may at any time terminate the website’s operation by not less than 24 hours written notice to you.
   

2. 
   During suspension or following termination of the operation of the website you will continue to be able to communicate with us by other means for the purposes of and subject to the terms of your Agreement.
   

2. 
   In addition to any right you may have of access to our website and to any application, either party may communicate with the other, other than notices that are required under your Agreement to be in written physical form, by electronic means.
