Introduction

Grounds for the assumption by the issuer of the obligation to disclose information in the form of a quarterly report

Securities prospectus with respect to the issuer’s securities was registered.

On November 18, 2008, the Federal Financial Markets Service of the Russian Federation registered the securities prospectus of the Company.

In accordance with paragraph 10.1 of Regulations for the Disclosure of Information by Issuers of Issue-Grade Securities No. 454-P of December 30, 2014, approved by the Central Bank of the Russian Federation, the issuers that have at least one securities prospectus registered with respect to their securities are obliged to disclose information in the form of a quarterly report.

On October 27, 2015, the Bank of Russia registered an additional issue of PJSC ROSSETI (registration number: 1-01-55385-E). Type of securities: uncertificated registered ordinary shares. Quantity of additionally issued securities: 42,796,991,468. As of the last date of the reporting quarter, the notice of the additional securities issue results was not given to the registration agency; therefore, this Quarterly Report specifies information that does not include any placed shares of the additional issue (see paragraph 2.2, paragraph 3.5, paragraph 5.2, paragraph 6.2, paragraph 6.3, paragraph 8.1.1, and paragraph 8.1.4).

For information: in December 2015, 33,472,847,500 uncertificated registered ordinary shares of the additional issue (registration number: 1-01-55385-E of October 27, 2015) were distributed to the Russian Federation, represented by the Federal Agency for State Property Management, having the preemptive right to acquire shares.

Since, as of the last date of the reporting quarter, the additional securities issue reports applicable to the current issues of shares in PJSC LENENERGO; IDGC of Volga, PJSC; and JSC Yantarenergo were not registered, this Quarterly Report specifies stakes in the authorized capital without any placed shares of the additional issues (see paragraph 3.5 and paragraph 8.1.4).

In this Quarterly Report, Public Joint Stock Company ROSSETI is also referred to as PJSC ROSSETI and JSC ROSSETI, JSC Russian Grids, and JSC IDGC Holding (the former company names), the Issuer, and the Company.

This quarterly report contains the estimates and forecasts of the duly authorized management bodies of the issuer pertaining to future events and/or actions, prospects for development within the branch of economy in which the issuer conducts its core business and the performance of the issuer, including the issuer’s plans, the likelihood of occurrence of certain events and performance of certain actions. Investors should not fully rely on the estimates and forecasts of the issuer’s management bodies, since the future actual performance of the issuer may differ from the forecast performance for a variety of reasons. The acquisition of the issuer’s securities is associated with the risks described in this quarterly report.
