Teléfonos de México, S.A. de C.V. Extraordinary, Ordinary and Special Shareholders´ Meetings
Mexico City, September 25, 2000.- Teléfonos de México, S.A. de C.V. (NYSE: TMX) announced that during its Extraordinary, Ordinary and Special Shareholders´ meetings that were held today, several resolutions were decided. Among the most important are:
The proposal to merge Tenedora Nacional, S.A. de C.V. with Teléfonos de México S.A. de C.V. was approved.
The proposal to spin off TELMEX´s cellular businesses and most of its international investments to create a new company named América Móvil was approved. The spin-off will create two companies whose highly focused management teams can more quickly and efficiently capitalize on emerging opportunities and challenges that may arise in their respective markets.
The following Board Members and Statutory Auditors for América Móvil were appointed and approved:
Common Share Board Members: Chairman: Carlos Slim Helú, Jaime Chico Pardo, Humberto Gutiérrez Olvera Z., Alejandro Soberón Kuri, María Asunción Aramburuzabala L., Daniel Hajj Aboumrad, Drew Roy, Royce S. Caldwell and as Secretary Rafael Robles Miaja.
“L” Share Board Members: Claudio X. González Laporte and David Ibarra Muñoz.
Statutory Auditor: Francisco Alvarez del Campo and Alternate Statutory Auditor: Agustín Aguilar Laurent.
Teléfonos de México´s Board and Statutory Auditors remain as follows:
