THE STATUTE 

OF ”EKSPONAT” FOUNDATION  

General Provisions

§ 1 

1. The foundation ”EKSPONAT”, hereinafter referred to as “the Foundation’’, established by Paweł Adam Zaniewski, hereinafter referred  

to as ”the Founder” by means of a notarial deed (Repertory A Number: 537/2014) drawn up by Katarzyna Janik in the Notary’s Public  

Office in Wołomin, at Ogrodowa 8, on January 17th 2014 shall conduct its activities in accordance with the Polish laws in force as well  

as the provisions hereof.  

2. The Foundation is apolitical and not related to any religion.

§ 2 

1. The Foundation shall has legal personality.

2. The Foundation is supervised by the Minister competent for Culture and Protection of National Heritage.

§ 3 

The seat of the Foundation is the city of Kobyłka.

§ 4 

1. The Foundation shall operate on the territory of the Republic of Poland, and if within the necessary scope of realized aims it reserves  

the right to operate outside the borders of the Republic of Poland.

2. The Foundation may translate its name into other languages for the purpose of cooperative relations with abroad.

§ 5 

The Foundation shall be entitled to set up logotypes, badges, awards, medals and grant them alongside other rewards and distinctions  

to natural and legal persons of merit for the Foundation.

The Foundation’s objectives and principles of operation

§ 6 

The statutory objectives of the Foundation are:

1. the promotion of cultural and national heritage as well as artistic activity through popularization and support of cultural initiatives;

2. the support for actions aimed at protection of the national and cultural heritage;

3. the development of civic activeness in local communities through promoting the interest in science, culture, art, protection of cultural  

heritage and tradition; the promotion of social and cultural activeness;

4. integration together with developing contacts and cooperation between societies including reinvigorating of contacts and cultural  

exchange with foreign countries, in particular, the countries of the European Union;

5. promoting regional culture;

6. initiating and supporting innovative solutions in different areas of social life;

7. promoting the use of modern technology in, broadly-understood ,civic counseling;

8. development and strengthening of attitudes aiming at an active contribution to civil society;

9. working for organizations which character is specified by similar statutory objectives like scientific, technical, educational and cultural  

activity, physical culture, environmental protection, charity, health care, social assistance, vocational and social rehabilitation of disabled  

people;

10. dissemination of knowledge and skills for national  defense;

11. maintaining national tradition; cultivating Polish identity; development of patriotic, cultural and civic awareness;

12. the activity for the development of civil society, local communities as well as groups and socially marginalized communities  in 

Poland; popularization of cultural and social active citizenship; actions aimed at achieving equality of opportunity for vulnerable groups  

of people or people who are at risk of social exclusion like: national, religious and ethnic minorities or other groups facing discrimination  

problem;

13. developing scientific, cultural, political and social relations between  representatives of different countries, communities and religious  

organizations seeking to establish cooperation; development of democracy, culture, art, new jobs, education while preventing inequality  

and social discrimination.

§ 7 

The Foundation accomplishes its statutory objectives through:

1. conducting cultural activity on the basis of the Act of 25 October 1991on organizing and engaging in cultural activity (Journal of Laws  

of 1991, No. 114, item 493, as amended);

2. providing civic counseling in the form of autonomous services to support citizens’ independence;

3. advocacy of socially marginalized groups;

4. research, educational and publishing activity;

5. creation and support of existing educational, scientific and cultural institutions in terms of problematic aspects of natural and cultural  

heritage protection through mass media, information and communication media, publishing, printing, schools and courses;

6. organization and support of publications , exhibitions and other initiatives popularizing the Foundation’s activity in terms of its  

objectives;

7. performing maintenance work, archiving and documentation;

8. management of the museum’s collections and exhibitions;

9. organizing promotional campaigns, mass events including charity actions, public money collections , auctions of objects donated by  

donators;

10. conducting organizational, cultural, technical and scientific activit ies such as: inspiring and supporting research, projects and  

initiatives connected with culture and national heritage development;

11. conducting training in schools, lectures and seminars promoting occupations related to defense and security of the country;

12. organizing meetings with young people in order to preserve  the memory of struggle for independence history and propagating  

national and patriotic traditions;

13. organizing events and contests promoting the knowledge and skills connected with national  defense;

14. running training and information services related to promotion of the knowledge and skills connected with national defense;

15. expressing the Foundation’s general standpoint to the public;

16. providing material and financial assistance to individuals and institutions, in particular through scholarships for collectors or  

supporting conservation initiatives;

17. information and advisory activities;

18. organizing cultural and promotional meetings;

19. conducting and supporting research and scientific activities;

20. conducting other activities helping in fulfilling  the statutory objectives of the Foundation;

21. cooperation with other foundations, associations or non-governmental organizations;

22. the creation as well as implementation of programs and projects in accordance with the  Foundation’s objectives;

23. cooperation with other foundations, associations or non-governmental organizations in the Polish Republic, as well as outside of it,  

to the extent necessary for the proper realization of the Foundation’s objectives abroad.

§ 8 

To achieve its goals, the Foundation may support the activities of individuals and institutions convergent with its  own objectives.

The Foundation’s Property and Income

§ 9 

The Foundation’s capital is comprised of: the statutory fund – a monetary contribution of the Founders in the amount of 500 PLN (five  

hundred of zlotys) and other property acquired by the Foundation during its operation.

§ 10 

The Foundation’s income comprises:

1. donations, inherited property, bequests,

2. grants, subsidies and other gratis benefits,

3. income from fundraising, public events, lotteries and other social events,

4. income from the Foundation's assets.

The funds, owned by the Foundation or received by it, may only be used to implement statutory objectives.

§ 11 

1. Revenue from grants, subsidies, donations, bequests and inherited property can be used to achieve the objectives of the Foundation  

only with respect for the will of the heirs or donators.

2. With regards to acceptance of donations and inheritance, declarations of intent shall be made by the Board of the Foundation.

3. In case of appointing the Foundation to inherit a beq uest the Board submits a declaration concerning acceptance of inheritance up to  

the level of net assets.

§ 12 

1. The Foundation shall be liable to the extent of its assets only.

2. The Foundation maintains financial management and account books in accordance with applicable laws.

3. The following activities are prohibited:

a) Issuing loans or liability security with the Foundation’s assets to its Founders, members of its statutory bodies or employees and  

persons to whom they are wed or in a relationship of direct kinship or affinity, consanguinity or secondary kinship, or are associated by  

adoption, custody or guardianship, hereinafter referred to as “close relatives”;

b) The transfer of the Foundation’s assets to its Founders, members of its statutory bodies or employees and their close relatives, on  

other grounds than those that apply to third persons, especially,  if such transfers are made free of charge or under preferential  

conditions;

c) The use of the Foundation’s assets for the benefit of its founders, members of its statutory bodies or employees and their close  

relatives, on other grounds than those that apply to third persons, unless such usage is directly provided for in the statutory objective of  

the Foundation,

d) make purchases on specific terms and conditions, of the goods and services from entities where members of the organization,  

members of its bodies or employees, as well as their relatives, actively participate, on the basis other than the general principles  

concerning the third parties, or at prices higher than their market prices.

Management of the Foundation

§ 13 

1. The management of the Foundation is performed by:

a) The Board of the Foundation, hereinafter referred to as “ the Board”;

b) The Foundation Council, hereinafter referred to as “the Council”;

2. Members of the Board do not receive remuneration for participation in the work of that body, except for reimbursement of documented  

expenses associated with participation in the work of that body, including travel costs .

The Board

§ 14 

1. The Board is a body which makes decisions, monitors the activity and assesses the work of the Foundation.

2. The Board may comprise from three to six people.

3. The Founder becomes the member of the Board under this Statute.

4. Members of the first Board are appointed by the Founder. The subsequent members of the Board in place of those who have ceased  

to hold office or are appointed to extend the composition of the Board, shall be appointed by decision of the Board.

5. In particularly justified cases, the appeal Board member and thus depriving him of membership in the Board, may occur as a result of  

a resolution adopted unanimously by the remaining members of the Foundation. The Founder cannot thus be deprived of membership  

in the Board.

6. Membership in the Board expires upon written resignation or death of a member.

7. The membership of the Board cannot be combined with the membership of the Board of the Council or any other work made for the  

Foundation.

8. If a member of the Board, with his/her consent, is appointed to the Council, the membership in the Board shall be suspended for the  

period remaining until the end of the function or the employment relationship.

9. The Board chooses from among its members a President of the Board. The President of the Board manages the work of the Board,  

represents it outside as well as calls and chairs its meetings.

§ 15 

1. The Board shall meet at least once every year.

2. The Board shall meet when convened by its President on his/her own initiative or at the request of the Board or the Founder,  

submitted in writing.

3. The Board makes decisions in the form of resolutions passed by a simple majority of votes; in the event of a tie vote, the President  

shall have the casting vote.

§ 16 

The objectives of the Board include:

1. Appointment and recall of the Council members, including its President.

2. Appointment and recall of the Council members as well as the laying down of principles of remuneration for the Council members and  

their employment.

3. Evaluation of the Council, accepting the annual report or balance sheet and acknowledging the fulfillment of duties by the members of  

the Council.

4. Controlling the current activities of the Council.

5. Determination of major directions of the Foundation’s activity.

6. Monitoring of the Foundation’s activity.

7. Upon request from the Council, issuing decisions on consolidation with other Foundations or on the dissolution of the Foundation.

§ 17 

In performing its tasks, the Board is entitled to:

1. request the Council to present all the documents connected with the Foundation’s activity,

2. inspect the Foundation’s property; control finances of the Foundation. 

The Council

§ 18 

1. The Council consists of not more than three people appointed by the Board for a three-year term.

2. A member of the Council can serve more than one term.

3. The Board appoints and dismisses the President  of the Council.

4. The whole Council or its individual members may be dismissed by the Board before the expiry of the term by way of a resolution  

passed unanimously by all the Board members.

§ 19 

1. The Council manages the current Foundation’s activities and represents the Foundation in external relations.

2. The Foundation Council competencies include:

a) Adopting the annual action programs and financial plans,

b) Adopting rules and regulations,

c) Managing the Foundation’s assets,

d) Determining the number of employees in the Foundation and the amount of funds for salaries,

e) Taking decisions on all matters not delegated to other authorities,

f) Accepting donations, inherited properties, bequests, grants and subsidies,

g) The proposals pertaining to the introduction of amendments to the Charter of the Foundation and the merging or dissolution of the  

Foundation. 

3. The Council makes decisions in the form of resolutions passed by a simple majority of votes; in the event of a tie vote, the Chairmen  

shall have the casting vote.

4. All members of the Council must be informed about the Council meeting.

5. The Board may appoint proxies in charge of managing specific areas of the Foundation´s statutory business.

6. Every year, until 31st of March, the Council is obliged to submit an annual report on the activities of the Foundation for the previous  

year to the Board.

Representation of Interests

§ 20 

1. Declarations of will on behalf of the Foundation, subject to par. 2, are made jointly by two members of the Board.

2. For submitting applications on matters other than those connected with assets, and not connected with contracting liabilities of over  

PLN 5000 (five thousand zlotys), declarations of will on behalf of the Foundation may be made individually by the Foundation President.

The Change of Statute

§ 21 

1. Any amendments to the Foundation Statute shall be made by its Founder.

2. Any change to the statutory objective of the Foundation must be accepted by the Foundation Council.

The merge with another foundation

§ 22 

1. The Foundation may merge with another foundation when it enables more effective accomplishing of the Foundation’s statutory  

objectives.

2. A merger cannot be effected if the Foundation objective is to undergo a significant change as a result.

§ 23 

Decision to merge with another foundation shall be made by the Council by way of unanimous resolution in agreement with the Board.

The liquidation of the Foundation

§ 24 

1. The Foundation Council resolves to liquidate the Foundation in the event that the objectives for which the Foundation has been  

established have been met or in the event that the financial resources and assets of the Foundation are exhausted.

2. The Foundation Council appoints and dismisses its liquidators.

§ 25 

The decision on the Foundation liquidation is made by the  Council by way of a unanimous resolution that must be approved by the  

Foundation Board.

§ 26 

If, upon the liquidation of the Foundation, there remain any financial assets, those assets will be placed at the disposal of other  

charitable organization, as designated by the Foundation Council, operating within the Republic of Poland and having charitable  

objectives similar to those of the Foundation.

Final Provisions

§ 27 

The Foundation’s statutes take effect on the day of the approval by the National Court Register.
