72 (b) Bu Sazişdə heçnə Podratçı tərəflərin Xariçi sərmayələrin müdafiəsi haqqında 1992-ci il 15 yanvar tarixli Qanunun 11-15-ci Maddələrində nəzərdə tutulan hüquqlarını əsla məhdudlaşdırmır və Azərbaycan Respublikasının hər hansı başqa mövcud və ya gələcək qanununun müddəasına baxmayaraq, həmin hüquqlar Podratçıya bu Saziş üzrə məxsus olan hər hansı başqa hüquqlara əlavə olaraq tətbiq edilir. Hər hansı Hökumət orqanının hər hansı fəaliyyəti və ya fəaliyyətsizliyi nəticəsində Podratçının hər hansı hüquqlarının, mənafelərinin, yaxud əmlakının ekspropriasiyası, milliləşdirilməsi və ya başqa cür özgəninkiləşdirilməsi hallarında arbitrlər nağd pulun diskontlaşdırılmış axınları metodunu tətbiq edərək və əlverişli şəraitdə əqddə marağı olan alıcının və satıcının mövcudluğunu ehtimal edərək, habelə Podratçının öz hüquqlarından, mənafelərindən, payından (o cümlədən mənimsənilməmiş ehtiyatlarda iştirak payından) və ya əmlakından məhrum olması ilə nəticələnən əlverişsiz vəziyyəti nəzərə almayaraq zərərin əvəzinin tam bazar qiyməti ilə və mövcud müəssisə əsasında ödənilməsi (o cümlədən Dollarla dərhal tam və təsirli kompensasiyası) prinsiplərini tətbiq edirlər. Podratçının sadalanan hüquqlarının, mənafelərinin, payının (o cümlədən mənimsənilməmiş ehtiyatlarda iştirak payının) və ya əmlakının tam bazar qiymətini müəyyənləşdirmək üçün arbitrlər yüksək beynəlxalq nüfuza malik investisiya bankını seçirlər. (b) Nothing in this Agreement shall limit the rights of the Contractor Parties pursuant to Articles 11 through 15 of the Law on Protection of Foreign Investment dated 15 January 1992, which rights shall apply in addition to any other rights Contractor may have under this Agreement notwithstanding any other law, both current and future, in the Azerbaijan Republic. If any of Contractors rights, interests or property are expropriated, nationalized or otherwise taken by reason of any act or failure to act of any Governmental Authority, then the arbitrators shall apply the principle of indemnification (including prompt, full and effective compensation in Dollars) at the full market value, on the basis of an on-going concern utilizing the discounted cash flow method, assuming a willing buyer and seller in a non-hostile environment, and disregarding the unfavorable circumstances under which or following which Contractor shall be deprived of its rights, interest (including its interest in undeveloped reserves) or property. The arbitrators shall select an investment bank of good international reputation for purpose of appraising the full market value of said rights, interest (including its interest in undeveloped reserves) or property of Contractor. (c) Bu 22.3 bəndində nəzərdə tutulan hüquqlar və öhdəliklər bu Sazişin qüvvəsinə xitam veriləndən sonra da qüvvədə qalır. (c) The rights and obligations under this Article 22.3 shall survive the termination of this Agreement. 73 MADDƏ 23 ARTICLE 23 BİLDİRİŞLƏR NOTICES Bu Sazişin müddəalarına müvafiq surətdə təqdim olunan bütün bildirişlər ingilis və Azərbaycan dilində yazılı şəkildə tərtib edilir və telekslə, faksla, yaxud məktubla hər bir Tərəfə aşağıda göstərilən ünvana (yaxud bir Tərəfin digər Tərəflərə vaxtaşırı bildirə biləcəyi hər hansı başqa ünvana) göndərilir, bu şərtlə ki, Qüvvəyəminmə tarixindən sonra Azərbaycan Respublikası Dövlət Neft Şirkəti tərəfindən Podratçı tərəflərə göndərilən və bu Sazişin şərtlərinə görə zəruri olan bütün bildirişlər (27-ci Maddədə nəzərdə tutulduğu kimi, pozuntu haqqında hər hansı bildirişlər, 21.2(b)(iii) bəndinə uyğun olaraq göndərilən hər hansı bildirişlər, habelə 22.3 bəndində nəzərdə tutulan, arbitraja aid olan hər hansı bildirişlər istisna edilməklə) bu 23-cü Maddənin müddəalarına uyğun surətdə Əməliyyat şirkətinə göndərilmişdirsə, bütün Podratçı tərəflərə çatdırılmış hesab olunur. Podratçı ARDNŞ-a Əməliyyat şirkətinin adını və ünvanını (habelə bunların müvafiq dəyişikliklərini) əməli cəhətdən mümkün olan ən qısa müddətlərdə təqdim edəcəkdir. Teleks, yaxud faksla verilmiş bildiriş göndərildiyi tarixdən sonrakı birinci iş günü çatdırılmış hesab olunur. Məktubla göndərilən bildiriş yalnız alındıqdan sonra çatdırılmış sayılır. All notices required to be given pursuant to this Agreement shall be in writing in English and Azeri and may be given by telex, facsimile or letter to the address set out below for each Party (or such other address as a Party may notify to the other Parties from time to time) provided, however, that following the Effective Date any notices required to be given to Contractor Parties hereunder by SOCAR (except any notice of breach pursuant to Article 27, any notice pursuant to Article 21.2(b)(iii) and any notice of termination of this Agreement and any notice of arbitration pursuant to Article 22.3) shall be considered effective as to all Contractor Parties if given to the Operating Company in accordance with this Article 23. Contractor shall advise SOCAR of details of the name and address of the Operating Company (and of any changes thereto) as soon as practicable. A notice given by telex or facsimile shall be deemed to be received on the first working day following the date of dispatch. A notice sent by letter shall not be deemed to be delivered until received.
