University Charter

ELIZABETH THE SECOND by the Grace of God of the United Kingdom of Great Britain and Northern Ireland and of Our other Realms and Territories Queen, Head of the Commonwealth, Defender of the Faith: to all to whom these presents shall come, greeting!

WHEREAS an humble Petition has been presented unto Us by The Royal College of Science and Technology, Glasgow, praying that We should constitute and found a University within Our City of Glasgow for the advancement of knowledge, the diffusion and extension of arts, sciences and learning, the provision of liberal, professional, scientific and technological education and for the furtherance of the objects for which the said Royal College of Science and Technology was constituted under a scheme prepared by Our Secretary of State for Scotland and which was approved by Order in Council dated the thirtieth day of July in the year of our Lord One thousand nine hundred and sixty-two and to grant a Charter with such provisions in that behalf as shall seem to Us right and suitable:

AND WHEREAS We have taken the said Petition into Our Royal Consideration and are minded to accede thereto:

NOW THEREFORE KNOW YE that We by virtue of Our Prerogative Royal and of Our especial grace, certain knowledge and mere motion have willed and ordained and by these Presents do for Us, Our Heirs and Successors will and ordain as follows:
1 The members for the time being of the General Convocation, the Court, the Senate, the Academic Advisory Committee (while that Committee exists) and the Faculties of the University, the Graduates of the University, the Graduate and the Undergraduate students of the University, the Chancellor, the Principal and Vice-Chancellor, the Vice-Principal and all others who shall pursuant to this Our Charter and the Statutes of the University for the time being be Members of the University are hereby constituted and from henceforth for ever shall be one body politic and corporate with perpetual succession and Common Seal by the name and style of 'The University of Strathclyde' (hereinafter called 'the University').
2 The University shall retain the name Anderson in connection with one of its principal buildings.
3 The objects of the University shall be to advance learning and knowledge by teaching and research particularly into the basic and applied sciences and to enable students to obtain the advantages of liberal university education.
4 The University shall be both a teaching and examining body and shall subject to this our Charter and the Statutes have the following powers:
(A) To prescribe in its Statutes or Ordinances the requirements for Matriculation and the conditions under which persons shall be admitted to the University or to any particular course of study therein.

(B) To grant and confer under conditions laid down in its Statutes or Ordinances, Degrees, Diplomas, Certificates and other academic awards to and on persons who shall have pursued a course of study approved by the University and shall have passed the examinations or other tests prescribed by the University.

(C) To admit graduates of other Universities to Degrees of equal or similar rank in the University.

(D) To confer Degrees of the University on any persons who hold office in the University as Professors, Readers, Lecturers or otherwise or who shall have carried on research therein under conditions laid down in its Statutes or Ordinances.

(E) To grant Diplomas, Certificates or other awards to persons who have pursued a course of study approved by the University under conditions laid down by the University.

(F) To confer Honorary Degrees and other awards on approved persons provided that all Honorary Degrees and other awards so conferred shall be conferred and held subject to any provisions which are or may be made in reference thereto by the Statutes, Ordinances or Regulations of the University.

(G) On what the University shall deem to be good cause to deprive persons of any Degrees, Diplomas, Certificates or other awards granted to or conferred on them by the University.

(H) To provide instruction in such branches of learning as the University may think fit and to make provision for research and for the advancement and dissemination of knowledge in such a manner as the University may determine.

(I) To provide such lectures and instructions for persons not being Members of the University as the University may determine and to grant Diplomas and Certificates to such persons.

(J) To accept the examinations and periods of study passed by students of the University at other Universities or places of learning including therein the Royal College of Science and Technology, Glasgow as equivalent to such examinations and periods of study in the University as the University may determine and to withdraw such acceptance at any time.

(K) To associate other institutions or branches or departments there-of and to recognise selected members of the staffs thereof as teachers of the University and to admit the members thereof to any of the privileges of the University and to accept attendance at courses of study in such institutions or branches or departments thereof in place of such part of the attendance at courses of study in the University and upon such terms and conditions and subject to such regulations as may from time to time be determined by the University.

(L) To co-operate by means of Joint Boards or otherwise with other University authorities for the conduct of examinations, and for such other purposes as the University may from time to time determine.

(M) To enter into an agreement with the Royal College of Science and Technology, Glasgow for the incorporation of that College in the University and for taking over its rights, property, liabilities and engagements.

(N) To enter into an agreement for the incorporation within the University of any other institution and for taking over its rights, property and liabilities and for any other purpose not repugnant to this Our Charter.

(O) To institute Professorships, Readerships, Senior Lectureships, Lectureships and any other such offices required by the University and to appoint to such offices.

(P) To institute and award Fellowships, Scholarships, Studentships, Exhibitions, Bursaries and Prizes.

(Q) To establish and maintain and to administer and govern institutions for the residence of the students of the University whether Colleges, Halls or Houses and to license and supervise such institutions and other places of residence whether or not maintained by the University.

(R) To appoint Wardens or other Chief Officers of Halls of Residence maintained or licensed by the University.

(S) To make provision for research and advisory services and with these objects to enter into such arrangements with other institutions or with public bodies as may be thought desirable.

(T) To provide for the printing and publication of research and other works which may be issued by the University.

(U) To demand and receive fees.

(V) To act as trustees or managers of any property, legacy, endowment, bequest or gift for purposes of education or research or otherwise in furtherance of the work and welfare of the University and to invest any funds representing such property, legacy, endowment, bequest or gift if not immediately required in such security as the University may deem fit.

(W) To acquire armorial bearings, which shall be duly matriculated in Our Public Register of Arms and Bearings in Scotland.

(X) To prescribe in the Statutes or Ordinances the disciplinary provisions to which students of the University shall be subject.

(Y) To do all such other acts and things whether incidental to the powers aforesaid or not as may be requisite in order to further the objects of the University as a place of education and of learning and of research.
5 (1) There shall be a Chancellor of the University who shall be the Head of the University and shall preside over meetings of its General Convocation.

(2) The first Chancellor shall be Our right trusty and well beloved Alexander Robertus Baron Todd.

(3) The manner of appointment of the successors to the first Chancellor and the period of office of the Chancellor shall be as prescribed in the Statutes.
6 (1) There shall be a Principal of the University who shall also be the Vice-Chancellor of the University. The Principal shall be the chief Academic and Administrative Officer of the University and shall preside over meetings of the Senate and shall as the Vice-Chancellor in the absence of the Chancellor or during a vacancy in that office exercise and perform all the functions of the Chancellor including the conferment of Degrees.

(2) The first Principal and Vice-Chancellor of the University shall be Our trusty and well beloved Samuel Crowe Curran, Esquire, Master of Arts, Fellow of Our Royal Society and Principal of the Royal College of Science and Technology, Glasgow.

(3) The Powers and duties of the Principal and the manner of appointment of the successors to the first Principal shall be as prescribed in the Statutes.

(4) During a vacancy in the office of Principal, the Court shall appoint an Acting Principal who shall exercise and perform such of the functions of the Principal and shall have such of his powers, privileges and duties under this Our Charter or under the Statutes as the Court may specify.


7 (1) There shall be a Vice-Principal of the University who shall, subject to the Statutes, during the absence of the Principal exercise and perform such of the functions and duties of the Principal as the Principal or, if the Principal should be incapacitated, the Court may delegate to him.

(2) In the absence of the Chancellor and the Vice-Chancellor, the Vice-Principal shall preside over a Congregation and shall confer Degrees.

(3) The manner of appointment of the Vice-Principal and his period of office shall be as prescribed in the Statutes.
8 (1) There shall be a General Convocation of the University (hereinafter called 'the Convocation') which subject to the Statutes, shall appoint the Chancellor and have the right to appoint four members to the Court and to receive an annual report on the working of the University.

(2) The constitution of the Convocation, its powers and functions, the manner of election and period of office of its members, the manner of filling vacancies in its membership and all other matters relative to the Convocation which it may be thought proper to regulate, shall be as prescribed in the Statutes.


9 (1) There shall be a Court of the University (hereinafter called 'the Court') which, subject to the provisions of this Our Charter and the Statutes, shall be the Governing Body of the University.

(2) The Court shall direct the form, custody and use of the Common Seal.

(3) The Court shall be responsible for the management and administration of the whole of the revenue and property of the University and, except as may otherwise be provided in this Our Charter, shall have general control over the University and all its affairs, purposes and functions and all such other powers and duties as may be conferred upon it by Statute or Ordinance.

(4) The constitution of the Court, its powers and functions, the manner of election and period of office of its members, the manner of filling vacancies in its membership, and all other matters relative to the Court which it may be thought proper so to regulate, shall be as prescribed in the Statutes.


10 (1) There shall be a Senate of the University (hereinafter called 'the Senate') which, subject to the provisions of this Our Charter and the Statutes and to the general control and approval of the Court, shall be responsible for the academic work of the University, both in teaching and in research, and for the regulation and superintendence of the education and discipline of the students of the University.

(2) The constitution of the Senate, its powers and functions, the manner of election and period of office of its members, the manner of filling vacancies in its membership, and all other matters relative to the Senate which it may be thought proper so to regulate, shall be as prescribed in the Statutes.


11 (1) For such period as shall be determined in accordance with the provisions of paragraph (2) hereof, there shall be an Academic Advisory Committee of the University (hereinafter called 'the Academic Advisory Committee') which shall consist of six persons, not being members of the staff of the University, appointed in the manner prescribed in the Statutes, together with the Principal, and which shall be responsible for keeping under review the standard of the education provided in the University, and of the Degrees awarded by the University and have such other powers and duties as may be conferred upon it by Statute.

(2) On the motion of the Court of the University, the Lords of Our Most Honourable Privy Council may determine a date with effect from which the Academic Advisory Committee shall be dissolved*.

* Dissolved by the Privy Council, 3rd November 1967.

(3) The powers and functions of the Academic Advisory Committee, the period of office of its members, the manner of filling vacancies in its membership, and all other matters relative to the Academic Advisory Committee which it may be thought proper so to regulate, shall be as prescribed in the Statutes.


12 (1) The Court on the recommendation of the Senate shall have the power to constitute Faculties and may add to, substitute for, or discontinue any Faculty or Faculties.

(2) The Faculties shall comprise such Departments and Subjects of Study as the Senate may prescribe.

(3) For each Faculty there shall be constituted a Board of Study. The membership of each Board of Study shall be as the Senate may prescribe.

(4) The constitution, powers and duties of the Boards of Study and the method of holding elections for members of the Boards shall be as prescribed by the Senate.

(5) It shall be competent for the Senate to constitute such Joint Boards of Study as it may deem to be necessary to consider and report on matters referred to them by the Senate.
13 (1) For each Faculty there shall be a Dean who shall be ex officio the Convener of the Board of Study constituted for that Faculty.

(2) The manner of appointment of the Deans of the Faculties and their periods of office shall be as prescribed in the Statutes or Ordinances.


14 (1) There shall be an Academic Congress of the University, which shall consist of the Principal, the Vice-Principal, the Professors, Readers, Librarian and all other full-time members of the Academic Staff and such other members of the University as shall be designated by the Senate. The Principal shall be the Chairman of the Academic Congress.

(2) The powers and functions of the Academic Congress and all other matters relevant to it shall be as prescribed in the Statutes.


15 (1) Each Department of the University shall have a Departmental Committee which shall consist of all members of the Academic Staff of the Department.

(2) The Departmental Committee shall meet at least once in each year to be addressed by the Head of the Department who shall be the Chairman and any member of the staff of the Department may make representations on any matter affecting the Department.


16 (1) There shall be a Students Association of the University.

(2) The constitution of the Students Association, its powers and functions and all other matters which it may be thought proper so to regulate, shall be as prescribed in the Ordinances.


17 (1) There shall be a Graduates and Former Students Association of the University.

(2) The constitution of the Graduates and Former Students Association, its powers and functions and all other matters which it may be thought proper so to regulate, shall be as prescribed in the Ordinances.


118 The University shall not make any dividend, gift, division or bonus in money unto or between any of its Members, except by way of prize, reward or special grant.
19 No religious, racial or political test shall be imposed by the University on any person in order to entitle him to be admitted as a Member, Professor, Teacher or Student of the University or to hold office therein or to graduate thereat or to hold any advantage or privilege thereof.
20 Women shall be eligible for any office or appointment in the University and for membership of any of its constituent bodies and all Degrees and courses of study in the University shall be open to women
21 (1) The Statutes may contain, in addition to all such matters as are in the foregoing provisions of this Our Charter required to be prescribed or regulated by Statutes, all such other provisions consistent with this Our Charter as it may be thought proper to make for the convenient and effective attainment and execution of the objects and purposes of this Our Charter.

(2) The first Statutes shall be those set out in the Schedule to this Our Charter and they shall remain in force until they shall have been amended, added to or repealed in the manner hereinafter prescribed.

(3) The Court may, from time to time, on the recommendation of the Senate or otherwise, by Special Resolution make Statutes amending, adding to or repealing the Statutes:

Provided that no such Statutes shall be either repugnant to the provisions of this Our Charter or shall have effect until approved by the Lords of Our Most Honourable Privy Council, of which approval a Certificate under the hand of the Clerk of Our said Privy Council shall be conclusive evidence.


22 (1) The Statutes may direct that any of the matters authorised or directed in this Our Charter to be prescribed or regulated by Statutes shall be prescribed or regulated by Ordinances.

(2) Ordinances shall be made by resolution of the Court and shall have effect when such resolution has been confirmed at a subsequent meeting of the Court held not less than one calendar month nor more than three calendar months after the meeting at which the resolution was first passed:

Provided that in cases certified to be urgent by a vote of not less than three-fourths of the members of the Court present and voting at a meeting of the Court, Ordinances may be made and shall have immediate effect:
Provided further that Ordinances dealing with courses of study, the conditions of award of Degrees, Diplomas and Certificates, examinations, the powers and duties of Boards of Study, the association of other institutions, and the recognition of teachers, shall not be made, amended, added to or repealed except on the recommendation of the

Senate and with the approval of the Academic Advisory Committee (while that Committee exists).

(3) Ordinances may, subject to the foregoing provisions of this Article, be amended, added to or repealed from time to time.
23 Subject to the provisions of this Our Charter, the Statues and Ordinances, the Convocation, the Court, the Senate, the Academic Advisory Committee and the Boards of Study respectively may from time to time make regulations for governing their proceedings, and may amend, add to or repeal any regulations theretofore made.
24 (1) The Court may at any time amend, add to or repeal this Our Charter by a Special Resolution passed in that behalf, and such amendment, addition or repeal shall, when allowed by Us, Our Heirs or Successors in Council, have effect so that this Our Charter shall thenceforward continue and operate as though it had been originally granted and made as so amended, added to or repealed.

(2) This Article shall apply to this Our Charter as amended, added to or repealed in manner aforesaid.

(3) No Article or provision of this Our Charter shall be amended, added to or repealed otherwise than by Special Resolution or by Supplementary Charter.
25 (1) Every resolution of the Court to amend, add to or repeal this Our Charter or the Statutes or the Ordinances shall be communicated to the Senate and shall be displayed publicly within the University for not less than twenty-eight days as soon as may be after the said resolution has been passed at one meeting of the Court and before the same has been confirmed.

(2) Every Special Resolution of the Court when allowed or approved as hereinbefore provided, and every Ordinance made, amended, added to or repealed by the Court shall forthwith be published within the University.


26 For the purposes of the foregoing Articles of this Our Charter, a Special Resolution means a resolution passed at one meeting of the Court and confirmed at a subsequent meeting held not less than one calendar month nor more than three calendar months after the former:

Provided that notice of each meeting shall be given to each member of the Court not less than fourteen days before the meeting be held and that the resolution be passed at each meeting by a majority of not less than three-fourths of those present and voting.


27 In this Our Charter “Statutes” mean the Statutes set forth in the Schedule hereto and any Statutes amending, adding to or repealing the same or any of them which may hereafter be made and may be approved by the Lords of Our Most Honourable Privy Council. “Ordinances” mean Acts of the Court of the University under the powers conferred by this Our Charter to which Our further sanction is not hereby or by Statute required. “Regulations” except when otherwise required by the context means Regulations made pursuant to this Our Charter, the Statutes or the Ordinances.
28 Our Royal Will and Pleasure is that this Our Charter shall ever be construed benevolently, and in every case most favourably to the University and the promotion of the objects of this Our Charter.

IN WITNESS whereof We have ordered the Seal appointed by the treaty of Union to be kept and used in Scotland in place of the Great Seal of Scotland to be appended hereto.

GIVEN at Our Court at Balmoral the fourteenth day of August One thousand nine hundred and sixty-four in the Thirteenth year of Our Reign.

The Schedule

Statutes

I Definitions

In these Statutes:

'University' means the University of Strathclyde

'College' means The Royal College of Science and Technology, Glasgow

'Charter' means the Charter of the University

'Convocation' means the General Convocation of the University

'Court' means the Court of the University

'Senate' means the Senate of the University

'Faculty' means Faculty of the University

'Ordinances' means Ordinances made pursuant to the Charter or these Statutes

'Regulations' means Regulations made pursuant to the Charter, these Statutes or the Ordinances.

Words importing the masculine shall include the feminine and, unless the context otherwise requires, words in the singular shall include the plural and words in the plural shall include the singular.
II Members of the University

1 The following persons shall be Members of the University:

The following Officers of the University, namely, the Chancellor, the Principal and Vice-Chancellor, the Vice-Principal and the Pro-Vice Principal

The Benefactors of the University named by the Court

The Members of the Convocation

The Members of the Court

The Members of the Senate

The Members of the Academic Staff

The Secretary

The Librarian

The Members of the Academic Advisory Committee (while that Committee exists)

The Visiting Professors

The Honorary Professors

The Emeritus Professors

The Wardens or other Chief Officers of Halls of Residence maintained or licensed by the University

Such other Teachers and Officers as shall under Ordinances or Regulations made by the Court be granted the status of Members

The Graduates of the University

The Students of the University as defined in the Ordinances


2 Membership of the University shall continue as long as one at least of the qualifications above enumerated shall continue to be possessed by the individual Member.

3 The Court on the recommendation of the Senate shall have power to declare such other persons Members of the University as it shall deem fit.



  1. Membership of the University may be withdrawn from an individual Member at his request on religious grounds or for such other reason considered by the Court on the recommendation of the Senate to be sufficiently cogent to justify such a request and upon his entering into such undertakings and guarantees as the Court on the recommendation of the Senate may require to the effect that he will continue to observe the Statutes, Ordinances and Regulations of the University as though he had continued to be a Member thereof.
