Podratçı  texniki  biliklərə  və  təcrübəyə,  inzibatçılıq  və  idarəetmə  üzrə  ekspert  biliklərinə  və 
Kontrakt  sahəsində  Karbohidrogen  ehtiyatlarının  səmərəli  işlənməsi  və  hasilatı  üçün  maliyyə 
ehtiyatlarına malikdir və bu məqsədlə ARDNŞ ilə müqavilə münasibətləri qurmağı arzulayır; 
WHEREAS,  Contractor  has  the  technical  knowledge  and  experience,  the  administrative  and 
managerial  expertise, and  financial resources  to  efficiently  develop  and  produce  the  Petroleum 
resources of the Contract Area, and desires to contract with SOCAR for that purpose. 
 
 
BUNUNLA TƏSDİQ  EDİLİR Kİ, yuxarıda şərh edilənlərin və aşağıda göstəriləcək qarşılıqlı 
öhdəliklərin  müqabil  surətdə  yerinə  yetirilməsi  üçün  Tərəflər  aşağıdakılar  barədə  razılığa

Podratçı  tərəflər  razıdırlar  ki,  onların  bu  Saziş  üzrə  iştirak  payının  yuxarıdakı  1.1 
bəndində  müəyyənləşdirilmiş  müvafiq  faizləri  Kontrakt  sahəsi  barəsində,  bir  tərəfdən, 
Podratçı tərəflərin və ya onların Ortaq şirkətlərinin hər hansı biri ilə, digər tərəfdən, hər 
hansı  Hökumət  təşkilatı  və  ya  ARDNŞ  arasında  hər  hansı  əvvəlki  sazişlərdən  və  ya 
müqavilələrdən irəli gələ  bilən  bütün hüquq  və  öhdəlikləri əvəz  edir. Tərəflər həmçinin 
razılığa gəlmişlər ki, Qüvvəyəminmə tarixindən başlayaraq bu Saziş ARDNŞ ilə Podratçı 
tərəflər arasında Kontrakt sahəsinə dair vahid və tam razılaşmadır.

The Contractor Parties agree that their respective percentage Participating Interest shares 
under this Agreement, as set forth in Article 1.1 above, replace any rights and obligations 
which may exist regarding the Contract Area by virtue of any prior agreement or contract 
between  any  of  the  Contractor  Parties  or  their  Affiliates  on  the  one  hand,  and  any 
Governmental  Authority  or  SOCAR  on  the  other hand.  The  Parties agree that,  from the 
Effective Date, this Agreement constitutes the sole and complete understanding between 
SOCAR and the Contractor Parties regarding the Contract Area.

HÜQUQLARIN VERİLMƏSİ VƏ SAZİŞİN ƏHATƏ DAİRƏSİ 
GRANT OF RIGHTS AND SCOPE 
 
 
 
 
2.1  
Müstəsna hüquq verilməsi

ARDNŞ Podratçıya bu Sazişin şərtlərinə uyğun olaraq və onun qüvvədə olduğu müddət 
ərzində  Kontrakt  sahəsinin  hüdudları  daxilində  və  həmin  sahə  ilə  bağlı  Neft-qaz 
əməliyyatları  aparmaq  üçün  vahid  və  müstəsna  hüquq  verir.  Burada  xüsusi  göstərilən 
hüquqlar  istisna  olmaqla,  bu  Saziş  yerin  təkiı,  habelə  təbii  ehtiyatlar  ilə  bağlı  Neft-qaz 
əməliyyatlarından savayı hər hansı başqa fəaliyyət növü ilə məşğul olmaq üçün hüquqlar 
nəzərdə tutmur. 
 
SOCAR  hereby  grants  to  Contractor  the  sole  and  exclusive  right  to  conduct  Petroleum 
Operations within and with respect to the Contract Area in accordance with the terms of 
this Agreement and during the term hereof. Except for the rights expressly provided for 
herein,  this  Agreement  shall  not  include  rights  for  any  activity  other  than  Petroleum 
Operations with respect to  sub-soil or to any other natural resource. 
 
 
2.2  
Bu  Sazişin  başqa  hissələrində  xüsusi  nəzərdə  tutulmuş  digər  hallar  istisna  olmaqla, 
Kontrakt sahəsində sənaye üsulu ilə istehsal başa çatdıqdan sonra Neft-qaz əməliyyatları 
nəticəsində  əldə  edilən  hasilatın  həcmi  bu  Sazişin  qüvvədə  olduğu  müddət  nəzərdə 
tutulan  uzadılmış  müddətlərin  hamısı  daxil  olmaqla,  qurtardıqda  Podratçının  Əsaslı  və 
Əməliyyat məsrəflərinin tam ödənilməsi üçün kifayət etmirsə, bu Sazişin şərtlərinə uyğun 
olaraq  Podratçı  əvəzi  ödənilməmiş  məsrəflərinin  ödənilməsi  və  ya  kompensasiya 
olunması hüququna malik deyildir. 
2.2 
Except  as  expressly  provided  elsewhere  herein,  in  the  event  production  resulting  from 
Petroleum  Operations,  upon  completion  of  commercial  production  from  the  Contract 
Area at the end of the term of this Agreement, inclusive of all appropriate extensions is 
insufficient  for  full  recovery  of  Contractors  Capital  Costs  and  Operating  Costs  as 
provided  hereunder,  then  Contractor  shall  not  be  entitled  to  any  reimbursement  or 
compensation for any of its costs not recovered.
