Geoscience  Corporation  şirkəti,  ONŞ  dedikdə  Azərbaycan  Respublikasmda  təşkil  edilmiş 
ARDNŞ,  Yunion  Teksas  dedikdə  Baham  adlarında  qeydə  alınmlış  Union  Texas  Intenational 
Corporation  şirkəti,  hər  hansı  digər  Podratçı  tərəf  dedikdə  isə  bu  Podratçi  tərəfin  Əsas  ana 
şirkəti nəzərdə tutulur 
 
"Ultimate  Parent  Company"  means  in  relation  to  Commonwealth  -  A&B  Geoscience 
Corporation  incorporated  in  Anguilla  (British  West  Indies),  in  relation  to  SOA  -  SOCAR 
incorporated  in  the  Azerbaijan  Republic,  in  relation  to  Union  Texas  -  Union  Texas 
International  Corporation,  ana  in  the  case  of  any  other  Contractor  Party,  such  Contractor 
Partys Ultimate Parent Company 
 
"Əsas ana şirkətin təminati” - 4-cu Əlavədə nümünə üzrə Əsas ana şirkət tərəfindən təminat 
deməkdir 
 
"Ultimate  Parent  Company  Guarantee"  means  the  guarantee  given  by  an  Ultimate  Parent 
Company in the form set forth in Appendix 4 
 
"Qərəzli  xeta"  –  beynəlxalq  neft-qaz  sənayesi  təcrübesində  qəbul  edilmiş  yaxşi,  ehtiyatkar 
metodlara  və  bu  Sazişin  şərtlərinə  qəsdən,  düşünülmüş  və şüurlu  sayğısızlıq hallarını  yaradan 
hər hansı bir əsassız əməl və ya etinasızlıq deməkdir 
 
"Willful  Misconduct"  means  any  unjustifiable  act  or  omission  which  constitutes  an 
intentional,  deliberate  and  conscious  disregard  of  good  and  prudent  international  oil  field 
practices or the terms of this Agreement 
"Sıfır  balansi"  -  Məcburi  Işləri  Minimum  Proqramının  Podratçi  ilə  yerinə  yetirilməsindən 
sonra Muhasibat uçotunun aparılması qaydasına müvaflq sürətdə Əsasli xərclərin ödənilməsi ilə 
əlaqədar  Podratçının  apardiği  hesabda  Sıfır  balansının  əldə  edilməsi  deməkdir.  Ilk  dəfə  Sıfır 
balansı əldə  edildikdən  sonra,  13.1  bəndindəki məqsədlər  üçun  Əsaslı  məsrəflər  sonradan əsas 
büdcə kateqoriyaları üzrə təsnif edilir 
 
 
"Zero  Balance"  means  the  achievement  after  completion  by  Contractor  of  the  Minimum 
Obligatory Work Program of zero balance in the accounts maintained by Contractor with respect 
to  Capital  Costs  in  accordance  with  the  Accounting  Procedure  After  the  occurrence  of  the  first 
Zero Balance for the purposes of Article 13 1, Capital Costs thereafter will be classified by main

Bu  Sazişin  bağlandiği  tarix  üçun  Kontrakt  sahəsi  aşağıda  göstənlmiş  və  bu  sənədə  əlavə 
edilən xəritədə ayrıca nişanlanmış coğrafi koordinatların əmələ gətirdiyi perimetr daxilində 
qalan üç (3) blokdan ibarət sahədir 
 
As of the date of execution of the Agreement, the Contract Area is the area comprising of three (3) 
blocks  each  being  inside  the  perimeter  constituted  by  the  relevant  geographical  co-ordinates  set 
forth below and as separately identified on the map attached hereto
